TWSC CONSTITUTION and BY-LAWS

            With intent to promote a unified social understanding for the betterment of our community,  we shall strive to make every effort and sacrifice to encourage harmony within our Organization, home and surroundings.

 

            Our Beliefs will form a pattern of consideration and thoughtfulness and will bring towards one another a sense of civic pride.  Conscientious efforts to uphold our high ideals will always be in evidence and a policy for the purpose of effectuating true Americanism will always be our cherished goal.

 

OATH of OFFICERS

 

            The members of the Third Warders Social Club, Inc., have chosen you as their leaders for the ensuing year.  You are no doubt aware of their confidence and your great responsibilities.  The fate and progress of this Organization rests in your hands.  Acquaint yourself with the duties of your particular position so that you may fulfill them with sincerity and aptitude.

 

            May logic and the welfare of the Third Warders Social Club, Inc. be your guide.

 

            Kindly raise your right hand and repeat after me,  I……………resolve to fulfill all the obligations of the office I am about to assume, to bear true and faithful allegiance to the Constitution, to deliver all books and papers and property to my successor or Club, all of which I pledge my sacred honor.

 

OATH of NEWLY ACCEPTED MEMBERS

 

            I……………., having read the Constitution of the Third Warders Social Club, Inc. pledge my honor to faithfully observe the Constitution, to comply with all rules and regulations of the Club, not to divulge or make public gossip and of the private proceedings of the Club,  to perform to the best of my ability all duties assigned to me, and to conduct myself properly at all times.  To this I pledge my sacred honor.

ARTICLE I

QUALIFICATIONS for MEMBERSHIP

 

            Section 1          Must be 18 years of age.

Section 2          Must be introduced by a member who has been in good standing at least one year.

Section 3          All new members’ applications shall be screened by the Board of Directors for approval by the Body. 

 

ARTICLE II

GENERAL CLUB RULES

 

Section 1          Club initiation fee and annual membership dues shall be paid with application for membership.

Section 1A       If the son of an active or deceased member applies to the Club for membership, the initiation fee will be waived.

Section 1B       All members in good standing for a period of five consecutive years or more, who have reached the age of 60, will be exempt from payment of dues.

Section 2          All club dues expire January 31st.  Membership will be discontinued automatically after 60 days delinquency.

Section 3          Any member who resigns or is expelled from the Club, must turn in keys and any other property belonging to the Club.

Section 4          All resignations must be in letter form over the members signature.

Section 4A       Any member who resigns in good standing, may renew his membership, with written approval from the Board of Directors; and paying the current dues for the ensuing year.  This member, when reinstated, will be treated as a new member.

Section 5          Any member who speaks or acts in any manner detrimental to the Club, profiteers at the expense of the Club or instigates bad feeling to disrupt the brotherhood and harmony of the Club, shall be given a trial by the Board of Directors and Officers.  If they decide to dismiss him, it will be accomplished by a vote of the Body at the regular monthly meeting.

Section 5A       Said member shall be banned from membership in the Club for life.

Section 6          Any member who brings a guest to the Club, must register guest and is responsible for his behavior.

Section 7          No political affiliation.

Section 8          A quorum shall consist of 15 members.

Section 9          Order of Business at Meeting:

(A) Call to Order

(B)  Pledge of Allegiance

(C)  Read Constitution

(D) Roll Call of Officers

(E)  Vote on and swear-in any new members recommended by the Board of Directors.  President or Vice-President may swear-in new members.

(F)   Report of Recording Secretary to include minutes of last meeting, as well as any correspondence.

(G) Report of Financial Secretary

(H) Report of Board of Directors

(I)    Report of Committees

(J)    Old Business

(K) New Business

(L)  Close Meeting

 

Section 10        Monthly meetings will be held the first Sunday of the month at 2:30p.m., unless otherwise posted.

Section 11        No obscene pictures or literature shall be displayed on premises.

Section 12A     Any change in the Club Manual will require reading at two (2) consecutive monthly Body meetings.

Section 12B     Voting on said changes, will be discussed individually and voted upon by the Body at the second meeting.  A two-thirds (2/3) vote is needed to revise a section.

Section 13        Only members are permitted to use the gym and related facilities.

Section 14        Regarding deceased members, the Club is to donate twenty-five dollars ($25.00) to the deceased member’s family to do with as they wish.  In addition, deceased member’s family may have use of Club Hall, free of charge, after the funeral.

 

ARTICLE lll

NOMINATIONS and ELECTIONS

 

Section 1          A nomination chairman will be appointed at the October meeting.  He will secure two members to assist him in arranging an election slate.  He will conduct the November meeting and also the election in December.  His committee shall check validity of voter and count ballots.  Their findings shall be posted and official.

Section 2          Nominations shall take place at the November meeting.  Only members who have been in good standing for at least one (1) year are eligible for nomination.

Section 3          Elections will take place at the December meeting.  Voting to be by secret ballot from the hours of 1:00p.m.  to  6:00p.m.

Section 4          Absentee ballots will not be allowed.  To be nominated, you must be present to accept your nomination; or a signed note submitted to the nomination chairman, prior to the November meeting.

Section 5          Officers to be elected shall be:

                        President                      Two(2) yr. term              $150. per yr.

                        Vice-President               Two(2) yr. term              $100. per yr.

                        Financial Sec’y              Two(2) yr. term              $150. per yr.

                        Treasurer                      Two(2) yr. term              $350. per yr.

                        Recording Sec’y            Two(2) yr. term                 $25.per yr.

                        Sergeant at Arms           Two(2) yr. term                     exempt

 

                        Board Member- (4) Board members shall be elected by the Body each year.  The term of office would be dependent upon the number of votes received.  The two (2) highest vote-getters would serve three (3) year terms; the third highest vote-getter a two (2) year term; the fourth highest vote-getter a one (1) year term.  Board members are exempt from yearly dues. 

 

 

 

ARTICLE IV

DUTIES of OFFICERS and APPOINTED COMMITTEEMEN

 

Section 1          Duties of President

(A) Shall preside at all Club meetings.

(B)  To be ex-officio member of all committees.

(C)  He may sign all checks.

(D) He shall administer oath for all new members

(E)  He may call for the resignation of any officer or committee chairman, or member who for any reason fails to perform their assigned duties.

(F)   He shall appoint all committee chairmen, special or for regular Club affairs, as they are needed.

(G) He shall have the authority to full any opening within the Executive Board or Board of Directors; the appointee to serve for the remainder of the year.

(H)  He shall publicize all proceedings of the Club.

(I)     Will determine the number of special events, parties and outings the Club will run each year and submit to the Board of Directors for approval.

(J)     He shall supervise all duties for proper administration.

 

Section 2          Duties of Vice President

(A) Preside at meetings in absence of the President.

(B)  May co-sign checks if necessary.

(C)  Notify by mail each new member accepted giving him his membership card and a copy of the Club Manual.

(D) Notify delinquent members of impending suspension.

(E)  Keep membership records up to date- includes membership and executive board, mailing list and membership book.

 

Section 3          Duties of Recording Secretary

(A) Keep minutes of all Club meetings

(B)  He shall keep a record of all amendments to the Constitution and Manual.

(C)  Post all pictures, write ups and special news on bulletin board.

(D) He shall present all body referrals, in written form, to the Board of Directors.

 

Section 4          Duties of Financial Secretary

(A) To keep an account of all finances of the Club.

(B)   He shall turn in books to the Club Auditor monthly.

(C)  He shall announce receipts and disbursements.

(D) He shall record receipts and disbursements.

(E)  He shall assist the Club Auditor.

 

Section 5          Duties of the Treasurer

(A) To keep record of, and bank all money received.

(B)  He shall give receipt for all money received.  Receipt book to be furnished by the Club.

(C)  He may co-sign all checks.

(D) He shall assist the Club Auditor.

 

Section 6          Duties of Sergeant at Arms

(A) It shall be the duty of the Sergeant at Arms to preserve order and decorum at all meetings.  He shall not admit anyone to the meeting who is not entitled to admission, and shall assist the President in anyway required.

 

Section 7          Duties of the Board of Directors

(A) Elect Chairman, Secretary and Treasurer of the Board at the first regular meeting of the year.

(B)  To receive all grievances and complaints for study and action.

(C)  To maintain a petty cash fund at all times, size of fund to be determined by themselves.  To purchase any items necessary for the operation of the Club, the value of such items will not exceed $200.00.

(D) Study proposed amendments and submit same to Body for approval.

(E)  To meet once a month before the regular Club meeting.  Failure to attend three (3) consecutive or four (4) meetings within the course of a year, shall constitute dismissal from the board.

(F)   Appoint the Club Manager, Club Auditor and Lawyer at the first meeting of the year.

(G)  Supervise all duties for proper administration.

(H) Take physical count of inventory monthly.

(I)    Review Insurance policies annually.

(J)    The Board of Directors reserves the right to pro-rate salaries of the Club Officers based on individual job performance.

 

Section 8          Duties of Club Manager

(A) maintain supply of stock for efficient Club operation.

(B)  Apply all rules of bar and kitchen as set by the Board of Directors.

(C)  Secure, prepare and distribute any food necessary for functions of the Club.  Cost to be determined by the Board of Directors.

(D) Keep record of all Club property, obtaining any necessary assistance from stewards;  repairing or replacing any lost or damaged items.

(E)  Responsible for all transactions and arrangements necessitated by the rental of Club facilities.

(F)   Handle all incoming and outgoing correspondence and forward mail to whomever it concerns.

(G) Keep a record of physical inventory, the method to be determined with the approval and the scrutiny of the Board of Directors.

(H) Responsible for employee performance in the organization, management and operation of Club premises.

(I)    Attend regularly scheduled Board Meetings.

                       

Section 9          Club Accountant

(A) File all government reports, licenses and applications.

(B)  Maintain all payroll records.

(C)  Submit a monthly financial report to the Board of Directors.
